Rewards and Promotions Terms

These Rewards and Promotions Terms (the “Terms”) govern Adesic’s rewards, referral, and promotional programs (collectively, the “Programs”). By participating in any Program, you agree to these Terms and any additional instructions presented in-product or on a promotion page.

1. Key Definitions

• “Adesic” means Adesic LLC and its affiliates.
• “Account Activation” means the point at which your Adesic account is approved and you are permitted to transact (including completing required identity and/or business verification).
• “KYC/KYB” means identity and/or business verification and related compliance checks required by Adesic (and its service providers) from time to time.
• “Eligible Transaction Volume” means the USD value of eligible buy and sell crypto trades executed on the Adesic platform in supported markets during the applicable promotion window, as calculated by Adesic in its sole discretion.
• “USDC” means USD Coin (or any successor stablecoin designated by Adesic).
• “Referral Link” means the unique link or code provided by Adesic for referring a new user.

2. General Eligibility

Participation is available only to users who (i) have an active Adesic account in good standing, (ii) successfully complete applicable KYC/KYB, and (iii) are not prohibited from participating by law, regulation, or Adesic policy. Eligibility may vary by jurisdiction and may be limited or unavailable in certain locations. Void where prohibited.

Adesic may require additional information, verification, or documentation at any time. If you are unable to complete KYC/KYB or other compliance requirements, you are not eligible to participate or receive rewards.

3. Promotion A: New User Reward

Subject to these Terms, new users may be automatically enrolled in a limited-time promotion where you can earn a reward after meeting certain activity requirements.

3.1. How to qualify

• You must complete Account Activation (including KYC/KYB approval, if applicable).
• Within 30 days after Account Activation, you must reach at least $10,000 USD in Eligible Transaction Volume.

3.2. Reward amount

If you qualify, Adesic will award you $50 in USDC (the “New User Reward”), subject to the limits and conditions in these Terms.

3.3. Calculation notes

• Eligible Transaction Volume is generally measured using the USD notional value at the time each eligible trade is executed. Subsequent price changes do not increase or decrease your calculated volume.
• Reversed, canceled, refunded, disputed, or chargeback-related transactions will be excluded.

4. Promotion B: Referral Rewards

The Adesic Referral Program allows eligible users (“Referrers”) to invite friends (“Invitees”) using a Referral Link and earn rewards when Invitees join and qualify.

4.1. How referrals work

• The Invitee must sign up using the Referrer’s Referral Link and must create a new Adesic account. Accounts that previously existed or were previously verified will not qualify.
• The Invitee must complete Account Activation (including KYC/KYB approval, if applicable).
• Within 30 days after the Invitee’s Account Activation, the Invitee must reach at least $10,000 USD in Eligible Transaction Volume.

4.2. Referral reward amounts

If the Invitee qualifies, Adesic will award:

• $50 in USDC to the Referrer, and
• $50 in USDC to the Invitee,

each subject to the limits and conditions in these Terms.

5. Eligible vs. Ineligible Activity

5.1. Eligible activity (generally)

Eligible Transaction Volume generally includes the USD notional value of crypto buy and sell trades executed on Adesic in supported markets during the applicable 30-day window.

5.2. Ineligible activity (examples)

The following are not eligible (or may be excluded) when determining Eligible Transaction Volume:

• Fee-free or zero-fee transactions, including free 1:1 USDC transactions on the Pro plan(and any other plan features that provide free volume or fee waivers).
• Transfers, deposits, withdrawals, or wallet movements that are not executed as eligible buy/sell trades on Adesic.
• Transactions that are reversed, canceled, refunded, disputed, charged back, or otherwise determined to be invalid.
• Any activity Adesic determines is abusive, manipulative, fraudulent, or intended to circumvent the spirit of the Programs.

Adesic may update eligible/ineligible activity criteria at any time, including to reflect product or plan changes.

6. Reward Delivery, Form of Payment, and Timing

Rewards are typically paid in USDC to your Adesic account. If you contact support, Adesic may, at its discretion, offer an alternative payout in USD via ACH or another method, subject to eligibility, banking requirements, fees, and processing constraints.

Rewards are generally processed after Adesic confirms eligibility (including fraud and compliance checks). Processing times may vary. Adesic may delay, withhold, or reverse rewards where permitted by law and these Terms.

7. Limits

The maximum total rewards a customer may receive across the Programs is 1,000 USDC (or the USD equivalent) (the “Cap”). Once you reach the Cap, you are not eligible to receive additional rewards unless Adesic states otherwise in writing.

Adesic may also impose additional limits (including per-user, per-household, per-device, per-business, per-payment method, or per-jurisdiction limits).

8. Prohibited Conduct

You may not participate in the Programs in a way that Adesic determines (in its sole discretion) is abusive, fraudulent, manipulative, or intended to circumvent these Terms. This includes, for example:

• Creating multiple accounts, using false information, or attempting to verify accounts for others.
• Engaging in coordinated activity to game volume thresholds or rewards.
• Using bots or automation to exploit promotions.
• Any activity that violates Adesic’s other policies or applicable law.

If Adesic suspects prohibited conduct, Adesic may disqualify you, deny rewards, reverse rewards, suspend or terminate accounts, and/or take other actions as permitted by law.

9. Compliance, Risk, and Disclosures

Cryptoasset markets can be volatile and involve risk, including the possible loss of funds. These Programs are for promotional purposes only and do not constitute investment advice, a recommendation, or an offer to buy or sell any asset.

You are responsible for determining whether participation is legal in your jurisdiction and for complying with all applicable laws and regulations.

10. Taxes

Rewards may be taxable and reporting obligations may apply. You are solely responsible for any taxes and for determining the tax treatment of any reward you receive. Adesic does not provide tax advice.

11. Changes, Suspension, or Termination

Adesic may modify, suspend, or terminate any Program or these Terms at any time, with or without notice, to the extent permitted by law. This includes changing eligibility requirements, reward amounts, calculation methods, and limits.

12. No Guarantee; Limitation of Liability

Participation does not guarantee a reward. To the maximum extent permitted by law, Adesic is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to the Programs.
